TERMS OF SERVICE (Individual Version)

Between: Kulniev Roman ("I", "me", "Operator")
And: You ("User", "Client", or "Provider")
Effective Date: February 8, 2026

1. I Am An Individual, Not a Company

Important Legal Clarification:
ProChinaSource is operated by me, Kulniev Roman, as an individual entrepreneur. I am not a corporation, LLC, or limited company. This means:

  • Personal Liability: I am personally responsible for the operation of this service
  • No Corporate Veil: My personal assets may be at risk in case of legal disputes (though I limit liability where legally possible)
  • Tax Status: Paddle handles VAT/sales tax as Merchant of Record; I report income personally to my tax authorities

2. What I Provide

I personally provide:

  • A technical platform for posting B2B tenders
  • Email notification system (I send the emails via Resend)
  • Payment processing facilitation (via Paddle)

What I DO NOT provide:

  • I do NOT verify Providers (I am not Alibaba)
  • I do NOT guarantee business outcomes
  • I do NOT participate in your negotiations or contracts
  • I do NOT provide legal, financial, or trade advice

3. Payments & Taxes

Paddle is the Merchant of Record. This means:

  • You pay Paddle, not me directly
  • Paddle charges VAT/sales tax where applicable
  • Paddle handles tax compliance for me as an individual operator
  • On your invoice, you will see "Paddle" or "ProChinaSource via Paddle"

My Fee: I receive net amount from Paddle after their fees and taxes.

4. Limitation of Liability (Individual Cap)

As an individual operator with limited resources:

  • My maximum liability to you for any claim is limited to the amount you paid to the platform in the last 3 months
  • I am not liable for: quality of services provided by other users, failed business deals, non-payment between Users, or consequential damages
  • I do not guarantee uninterrupted service (I maintain this platform personally alongside other work)

Force Majeure: I am not liable for failures due to circumstances beyond my personal control (illness, internet outages, supplier failures).

5. Content Moderation

As an individual, I personally review flagged content when possible. However:

  • I use automated tools (Kimi AI) to scan for prohibited items (weapons, drugs, scams)
  • I reserve the right to remove content and ban users violating rules
  • I am not responsible for content posted by Users until I become aware of it

6. Governing Law

These Terms are governed by the laws of China.
If you are in the EU, you retain all EU consumer rights despite me being an individual operator.

Dispute Resolution:
As an individual, I prefer amicable resolution. Please contact me directly before initiating any legal proceedings. Any disputes will be handled in the courts of Shanghai, China.

7. Account Termination

I may ban users for:

  • Posting illegal content (weapons, drugs)
  • Fraudulent payments (chargebacks)
  • Harassment of other users
  • Attempting to bypass payment system

Upon termination:

  • Your data will be deleted (except purchase records kept for taxes)
  • Already purchased contacts remain with the buyers (I cannot retrieve them)

8. Business Status Representation

When you register, you confirm you are acting as a business (B2B), not a consumer. This platform is strictly for business users, even though I operate it as an individual.
